SECTION 1.2

Description of the concentration

-Funds managed by affiliates of The Carlyle Group L.P. (“Carlyle”), Qingdao Haier Co., Ltd. and Qingdao Haier Venture Capital Co., Ltd., both controlled entities of Haier Group Corporation (“Haier Group”) intend to acquire joint control over Haier Biomedical and Laboratory Products Co., Ltd. (“HBML”).

-Carlyle is a global alternative asset manager, which manages funds that invest globally across four investment disciplines: Corporate Private Equity (buyout and growth capital), Real Assets (real estate, infrastructure and energy), Global Market Strategies (structured credit, mezzanine, distressed, hedge funds, and middle market debt) and Solutions (private equity fund of funds program and related co-investment and secondary activities).

-Haier Group is a multinational manufacturer and supplier of consumer electronics and home appliances. The company manufactures and sells large domestic appliances (such as freezers, cooling appliances), small domestic appliances, air conditioning systems, mobile phones, TVs, computers, moulds, plastic raw materials, spraying steel, computer boards and motors. Haier Group is also active in finance, real estate and other businesses (e.g.: integrated circuit design, software development and design, printing, travel agencies, training and energy) in China.

-HBML is a company indirectly owned and controlled by Haier Group. HBML sells general laboratory equipment, in particular medical freezers, medical fridges/deep freezers and biomedical safety hoods.
