SECTION 4

Description of the concentration

On 11 June 2024, the European Commission received the notification of a proposed transaction by way of purchase of shares by which (i) entities controlled by Pon Holdings B.V. (“Pon”); and (ii) funds or vehicles controlled by affiliates of CVC Capital Partners plc (“CVC”) will indirectly acquire joint control over URUS Group LP and affiliated entities (together “URUS”) within the meaning of Article 3(1)(b) of the EU Merger Regulation. The primary business activities of the undertakings concerned by the notified concentration are as follows:

• CVC: a public limited company whose shares are listed and admitted to trading on the Euronext Amsterdam Stock Exchange. CVC, and certain of its subsidiaries from time to time, provide investment advice and/ or manage investments on behalf of certain funds and investment vehicles (the “CVC Funds”). The CVC Funds hold interests in a number of companies active in a variety of industries around the world, including in financial services, chemicals, utilities, manufacturing, retailing and distribution, in Europe, the US and the Asia-Pacific region.

• Pon: a holding company of the Pon Group, a global company active in several industries, including automotive, bicycles, equipment and power systems, and agricultural products and services. Pon is established in the Netherlands.

• URUS: a global provider of genetics solutions for bovines to accelerate genetic process, customized reproductive services to maximize conceptions, dairy management information, and other genetic-related services. URUS is established in the US.
