SECTION 1.2
Description of the concentration
1.Dalkia Polska, a subsidiary of Dalkia International, considers acquiring the majority of the share capital of Stołeczne Przedsiębiorstwo Energetyki Cieplnej S.A. (“SPEC”) that is currently held by the City of Warsaw and that manages the district heating network of Warsaw. The transaction therefore consists of the acquisition of sole control of SPEC by Dalkia Polska.
2.Dalkia Polska operates several district heating networks in Poland, in particular in Łódź and Poznań. It does not currently operate district heating networks in the Warsaw area.
