SECTION 1.2
Description of the concentration
The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the "Merger Regulation"). Under the terms of the proposed concentration, entities controlled by Rhône Capital L.L.C., intend to acquire a controlling stake in Garda World Security Corporation, which is presently solely controlled by Apax Partners LLP within the meaning of the Merger Regulation. The proposed concentration therefore involves a change from sole to joint control over Garda World Security Corporation. The areas of activities of the undertakings concerned are as follows:
-Rhône Capital L.L.C. is a private equity firm headquartered in New York, United States.
-Apax Partners LLP is a provider of investment advisory services headquartered in London, United Kingdom.
-Garda World Security Corporation is a private company headquartered in Canada, providing domestic and international protective services and cash security services
