SECTION 1.2

Description of the concentration

The notified transaction involves the proposed acquisition of sole control of Lotte Chemical UK Limited, a private company incorporated in England and Wales (the Target), currently belonging to the South Korea-based Lotte group of companies (the Lotte Group). The acquisition will be made by DAK Americas Exterior, S.L. (incorporated in Spain) (DAK Americas), and Grupo Petrotemex, S.A. de C.V. (incorporated in Mexico) (GPT), which both form part of the Mexican Alfa Group. The Target is active only in the manufacture and supply of PET resin. DAK Americas and GPT are in the polyester, plastics and chemicals division of Alpek (within the Alfa Group) and they are active in the manufacture and supply of a number of polyester-related products, including PTA (purified terephthalic acid), PET (polyethylene terephthalate), and polyester fibres.
