SECTION 1.2

Description of the concentration

This notification concerns the acquisition by JBS S.A. (JBS) of Moy Park Holdings (Europe) Limited (Moy Park) from the Marfrig Group (Marfrig).

JBS is the parent company of a global group active in the food sector, including in particular in the production of primary and processed beef products. JBS has also limited activities in other meat products, such as poultry and pork. Its exports meat products, among others, to the EEA, Russia, Latin America, Hong Kong and the Middle East. Its exports into the EEA are limited to primary (only frozen) and processed products to caterers and processors.

Moy Park is part of the Brazilian food group Marfrig. Moy Park is active in the rearing of live chickens and the supply of fresh and processed chicken to customers. In particular, Moy Park is mostly active in the supply of primary (fresh) poultry and processed poultry in the UK and Ireland, while in the other Member States is mainly active in the supply of processed meat (poultry and - to a limited extent - processed beef). It also has some marginal activities in processed pork, vegetable and bakery products.
