On 12 April 2024, the European Commission received the notification of a proposed transaction by way of purchase of shares by which (i) entities controlled by EMMA Alpha Holding Ltd. (“EMMA”); and (ii) funds or vehicles ultimately controlled by CVC Capital Partners SICAV-FIS S.A. ( “CVC”) will indirectly acquire joint control over Mail Step a.s. (“Mailstep”) within the meaning of Articles 3(1)(b) and 3(4) of the EU Merger Regulation. The primary business activities of the undertakings concerned by the notified concentration are as follows:
• CVC: the provision of advice to and management of investment funds with interests in a number of companies active in a variety of industries around the world (including chemicals, utilities, manufacturing, retailing and distribution), primarily in Europe, the US and the AsiaPacific Region. • Mailstep: a provider of contract logistics/fulfilment services to small and medium-sized eshops, offering storage, order processing, picking, packing, transport and handling of returns to its clients. Mailstep also offers its services to the suppliers of the e-shops. Mailstep is primarily active in the Central European region. Mailstep is established in the Czech Republic.
