SECTION 1.2

Description of the concentration

1.On 9 September 2019, Gruppo Lactalis Italia S.r.l., a subsidiary of the France-based Lactalis group, notified the acquisition of sole control over Nuova Castelli S.p.A., an Italian company active in the manufacture and sale of cheeses.

2.On 29 May 2019, Nuova Castelli Group S.p.A and the Lactalis group signed a Sale and Purchase Agreement pursuant to which the Lactalis group has committed to purchase all issued and outstanding shares of Nuova Castelli S.p.A., subject to the condition precedent that the European Commission authorises the Transaction pursuant to EU Regulation 139/2004 concerning the control of concentrations between undertakings.

The activities of the Parties are the following:

-- Nuova Castelli S.p.A. specialises in the supply of cheeses to retailers to be resold under private labels; and

-- Lactalis' activities include the production and supply of drinking milk, butter, cheese, fresh products, cream and industrial dairy products (milk powder, whey, etc.).
