SECTION 1.2

Description of the concentration

Nordic Capital VII Limited, in its capacity as general partner of Nordic Capital VII Alpha, L.P. and Nordic Capital VII Beta L.P. (“Nordic Capital”), has submitted a notification of a proposed concentration pursuant to which it intends to acquire control of Tokmanni Oy (“Tokmanni”), within the meaning of Article 3 (1) (b) of Council Regulation (EC) No 139/2004.

The business activities of the undertakings concerned are as follows:

1.1. Nordic Capital is one of three active private equity funds bearing the “Nordic Capital” name and forming the Nordic Capital group. These private equity funds invest in large and medium-sized companies, predominantly in Europe. The portfolio companies controlled by the Nordic Capital group are active in diverse areas;

2.2. Tokmanni is the leading Finnish general discount retail company. Tokmanni provides its customers with a wide assortment of affordable non-grocery consumer goods as well as selected groceries through several different brand stores.

The proposed transaction does not give rise to horizontal or vertical overlaps.
