Description of the concentration

The proposed transaction consists in the acquisition of Sole control over Aviapartner Holding NV and its subsidiaries by H.I.G. European Capital Partners SAS by way of purchase of shares.

1. The business activities of the undertakings concerned are:

• H.I.G. SAS is a private equity investment firm focused on management buy-outs, recapitalisations of middle market companies and growth equity investments. It controls a number of entities active in a wide range of industry sectors across the EEA.

• Aviapartner provides (i) ramp and passenger services; (ii) cargo handling services; as well as (iii) freight related services, in Continental Europe.
