Description of the concentration

The concentration concerns the proposed acquisition by Amalfi Invest Opportunities S.à r.l. (“AIO”), an independently-managed investment subsidiary of the Investindustrial group, of sole control over La Doria S.p.A. (“La Doria”) through the acquisition of a majority stake of La Doria’s share capital and the subsequent launch of a mandatory tender offer on all the outstanding shares of La Doria.

Investindustrial group is a European investment group of independently managed investment, holding and financial advisory companies. Its portfolio focuses on four main investment areas: consumer and leisure; healthcare and services; industrial manufacturing, and technology.

La Doria is an Italian company listed on the Star segment of the Italian Stock Exchange and operates in the production and marketing of food products particularly in the vegetable and juices processing sector.
