SECTION 1.2
Description of the concentration
The notified concentration consists of the proposed acquisition of control over Grupo Konectanet, S.L. and Konecta Activos Inmobiliarios, S.L. and companies controlled by them (jointly, the Target) by, on the one hand, Intermediate Capital Group plc (ICG), indirectly through ICG Europe Fund VII SCSp, a fund ultimately advised by it, and its investment structure (ICG Fund), and, on the other hand, a number of individual (the Managers). This transaction supposes a concentration within the meaning of Article 3(1)(b) of the EU Merger Regulation.
The business activities of the undertakings concerned are:
(a) ICG: UK-based asset manager; and
(b) The Target: business process outsourcing services in Europe and Latin America.
