SECTION 1.2

Description of the concentration

Daimler Insurance Services GmbH ("DIS") and Swiss Re Life Capital Ltd ("SRLC") (jointly the "Parties") wish to become partners for automotive and mobility insurance solutions on an international but not exclusive basis.

For this purpose, the Parties intend to establish a newly created joint venture company ("NewCo") which will be jointly controlled by the Parties.

DIS, established under the laws of Germany, is a wholly owned subsidiary of Daimler AG ("Daimler") and is mainly active in the development of automotive insurance and related digital solutions. Daimler is globally active in the development, manufacturing and distribution of automotive products, mainly passenger cars, trucks, vans and buses.

SRLC, established under the laws of Switzerland, is part of the Swiss Re group of companies held directly or indirectly by Swiss Re Ltd which is domiciled in Zurich, Switzerland ("Swiss Re"). Swiss Re is a wholesale provider of reinsurance, insurance and other insurance-based forms of risk transfer for both life and non-life products.
