SECTION 4

Description of the concentration

On 25 September 2024, the European Commission (the “Commission”) received notification of the creation of a full-function joint venture between Electricité de France S.A. (“EDF”) (via its wholly owned subsidiary EDF International S.A.S) and Abu Dhabi Future Energy Company PJSC – Masdar (“Masdar”) within the meaning of Article 3(4) of the Merger Regulation. The joint venture will provide services related to the development and operation of water and wastewater treatment facilities, power production facilities and transmission networks in Saudi Arabia.

The business activities of EDF and Masdar are as follows:

• EDF was established on 8 April 1946 in France, and is mainly active in electricity production and wholesale, trading, and supply, as well as in the provision of other electricity-related services and energy services.

• Masdar is incorporated in the United Arab Emirates and is a renewable energy and sustainability company that advances solutions in energy, water, urban development and clean technologies in the UAE and around the world.
