SECTION 1.2

Description of the concentration

Cinven Limited (ìCinvenî) intends to acquire sole control within the meaning of Article 3(1)(b) of Council Regulation (EC) No 139/2004 of Aero Invest 1 S.p.A (ìAeroî), by way of purchase of shares. Aero is an Italian company indirectly controlling Avio S.p.A (ìAvioî), which in turn controls a group of companies operating in the aerospace and defence industry. The business activities of the undertakings concerned are:

-for Cinven: private equity investment;

-for Avio: design and supply of components and modules for propulsion systems for commercial and military aircraft; production and supply of components for commercial and military helicopters; space propulsion; aero-derivative systems for power generation and marine propulsion; maintenance, repair and overhaul (ìMR&Oî).

The undertakings concerned have notified the proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004.
