SECTION 1.2

Description of the concentration

The proposed transaction consists of a change of control, from exclusive control of GDF SUEZ Futures Energies (a company controlled by GDF SUEZ) over Futures Energies Investissements Holdings (FEIH), to joint control of GDF SUEZ Futures Energies, Omnes Capital and potentially Predica Prévoyance Dialogue du Crédit Agricole over FEIH.

The proposed transaction concerns the French market for the generation and wholesale supply of electricity, on which GDF SUEZ and Omnes Capital are both active. Predica Prévoyance Dialogue du Crédit Agricole is not active in this market.

GDF SUEZ is also active in the upstream market for the development, construction and operation of wind farms and in the downstream market retail supply of electricity to end customers. Predica Prévoyance Dialogue du Crédit Agricole and Omnes Capital are however not active in these upstream and downstream markets.

The concentration qualifies for a simplified procedure.
