SECTION 1.2

Description of the concentration

1.1. The notified transaction consists in the acquisition by HNA Group Co., Ltd. ("HNA Group") of sole control over La Compagnie d'Exploitation des Services Auxiliaires Aériens ("Servair") through the purchase of 49,99% of Servair's shares from Air France.

2.2. HNA Group is a Chinese conglomerate currently operating across five core divisions (aviation, real estate, financial services, tourism, and logistics). Still essentially focused on China and the Asia-Pacific region, HNA Group has some relatively limited activities in the European Economic Area (mainly airport handling services through Swissport and air passenger transport activities at a limited number of airports). Further to the Commission's clearance decision dated 21 September 2016 in Case COMP/M.8104 HNA Group / GATEGROUP, HNA Group is also in the process of acquiring sole control over the Swiss-based in-flight catering and retail on-board services provider Gategroup.

3.3. Servair is a French company specialized in the provision of in-flight services (in-flight catering and retail on-board) and, to a more limited extent, ground-handling services.
