Description of the concentration
This notification concerns the following undertakings:
Aurelius Investment Lux One S.à r.l. (Grand Duchy of Luxembourg), part of the Aurelius Group, acquires via four acquisition companies registered in the United States, Luxembourg and Italy sole control over four companies belonging to the Dayco Group, i.e. Dayco Products LLC, located in the United States (with two subsidiaries in Mexico), Propulsion Solutions S.r.l., located in Italy (with subsidiaries in India, Brazil and Japan), Dayco Poland Sp. z.o.o., located in Poland, and Dayco (Suzhou) Propulsion Systems Co. Ltd., lo-cated in China, within the meaning of Art. 3 (1) point (a) of the Merger Regulation.
The concentration is accomplished by a Share Purchase Agreement, signed on 31 December 2023 which also provides for the sale and transfer of a limited number of related asset, in particular contracts, patents, trademarks and IT-related assets.
Aurelius Group is a private equity investment company and an asset manager holding various portfolio companies active in industry, chemistry, retail, business services, media and IT and airline catering.
The acquired companies and assets constituting the DPS (Dayco propulsion solution) business are active in the development, manufacture and sale of power transmission products as parts of front end accessory drive components, timing components and hybrid modules as power train components essential for vehicle and engine operation to OEM and suppliers to OEM.
