SECTION 4
Description of the concentration
This notification concerns the following undertakings:
• Waterland Private Equity Investments B.V. (Waterland), the Netherlands.
• Lebara Group B.V. (Lebara), the Netherlands, currently majority controlled by funds managed by Alchemy Partners LLP, United Kingdom.
Waterland will acquire, via WPEF IX Holdco 21 B.V., within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control of the whole of Lebara. The concentration is accomplished by way of purchase of shares.
The business activities of the undertakings concerned are:
a. Waterland is an independent private equity investment group focusing on four investment themes: ageing population, outsourcing and efficiency, leisure and luxury, and sustainability. Waterland is mainly active in Belgium, Denmark, France, Germany, Ireland, the Netherlands, Norway, Poland, Spain, Switzerland and the United Kingdom. Waterland’s headquarters are located in Bussum, the Netherlands. For the transaction, two portfolio companies of the funds managed by Waterland are relevant: (i) the Nuts Groep (amongst others operating under the brand of Budget Mobiel) and (ii) Enreach, both offering Mobile Virtual Network Operators (MVNOs) services to B2C and B2B customers respectively as part of their broader offerings.
b. Lebara operates as an MVNO in the United Kingdom, the Netherlands, Denmark, France, and Germany. Lebara offers both postpaid and prepaid options to consumers and, to a very limited extent, services to international wholesale markets (the carrier business).
