SECTION 1.2

Description of the concentration

On 8 October 2020, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004, as part of which certain funds advised by Alcentra Limited (“Alcentra”) and Brait Societas Europaea (“Brait”) respectively will acquire joint control over New Look Retail Holdings Limited and its subsidiaries (the holding company of the New Look group and its subsidiaries, altogether “New Look ”).

The nature of the parties’ respective businesses is as follows:

- Alcentra is a global asset management firm focused on sub-investment grade corporate credit.

- Brait is a public investment holding company focused on investing in unlisted businesses operating in the broad consumer sector.

- New Look is a UK-based fashion retailer with an online presence and chain of high street shops primarily located in the UK and Ireland.
