SECTION 1.2

Description of the concentration

1.1. The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 139/2004 by which CVC Capital Partners SICAV-FIS S.A. (together with its subsidiaries and affiliates, the "CVC Group") would obtain sole control within the meaning of Article 3(1)(b) of the Council Regulation of the fibre intermediates and composite resins businesses (with certain ancillary services) of the Royal DSM Group ("Target").

2. The primary business activities of the undertakings concerned are:

(a) for the CVC Group: the provision of advice to and management of investment funds;

(b) for Target: the production of fibre intermediates (specifically caprolactam, acrylonitrile and associated by-products) and composite resins and the provision of site services.
