SECTION 4

Description of the concentration

The Proposed Transaction concerns the indirect acquisition of sole control within the meaning of Article 3(1), point (b) of the EU Merger Regulation (“EUMR”) over ROBUR Industry Service Group GmbH and its subsidiaries (“ROBUR”) by SPIE Deutschland & Zentraleuropa GmbH (“SPIE DZE”), by way of purchase of shares.

ROBUR is ultimately controlled by ROBUR Industry and Building Service Group GmbH, both headquartered and predominantly active in Germany. SPIE DZE, with registered office in Germany, is active in Germany and Central Europe and is ultimately controlled by SPIE SA (together with its subsidiaries “SPIE”), headquartered in France and with business activities spanning all of Europe with a focus on France, Germany and the Netherlands.

• ROBUR provides industrial and consulting services in the wind, water, energy, industrial, and process industries, including energy transition services, mechanical, electrotechnical and electromechanical maintenance services as well as digital transformation services.

• The SPIE group of companies supports their customers in the planning, construction, operation and maintenance of buildings, plants and infrastructures across the following business areas: Technical services in (i) Mechanical and Electrical Engineering, (ii) Information and Communication Technology, (iii) Technical Facility Management and (iv) Transmission and Distribution Networks.
