SECTION 1.2

Description of the concentration

The notified concentration consists in the creation of a full function joint venture jointly controlled by Acciona Concesiones S.L. (“Acciona Concesiones”), Cobra Instalaciones y Servicios S.A.U. (“Cobra”) and Endeavour Energy (“Endeavour”) (the “Transaction”). Cobra, Acciona Concesiones and Endeavour are collectively referred to as the “Parties” or “Notifying Parties” and each individually a “Party”.

The sole purpose of the JV is the execution of a project involving the design, construction, financing, operation, maintenance, asset management and handback of an electricity transmission network infrastructure for the Central-West Orana Renewable Energy Zone (“REZ”) in New South Wales3 (“NSW”) (Australia) (the “Project’’).

Cobra is a Spanish multinational company that specializes in providing integrated solutions in the fields of energy, industrial engineering, telecommunications, and renewable energy.

Acciona Concesiones is a subsidiary of Acciona, a global company focused on sustainable infrastructure and renewable energy solution.

Endeavour is an Australian Partnership that operates in the electricity distribution sector in the New South Wales region.

The Transaction’s sole purpose is the creation of a full-function joint venture through which the Parties will be able to execute and operate the Project. Therefore, the JV will only be active in Australia and will have no activities in the EEA.
