Description of the concentration
1.1. Visa Inc., a Delaware corporation listed on the New York Stock Exchange, intends to acquire all outstanding shares and, hence, sole control of Visa Europe Limited, a private limited company incorporated under the laws of England and Wales. Visa Inc. and Visa Europe Limited are not affiliated companies.
2.2. Visa Inc. operates the VISA payment network worldwide, with the exception of the EEA and a few neighboring jurisdictions, where Visa Europe Limited operates the VISA payment system under a license from Visa Inc.
