SECTION 1.2
Description of the concentration
Lindéngruppen AB (“Lindéngruppen”) and Foundation Asset Management Sweden AB (“FAM”) intend to acquire joint control over Höganäs AB (publ) (“Höganäs”) by means of a public cash offer to the shareholders in Höganäs through a newly established jointly owned company, H Intressenter AB.
Lindéngruppen is a Swedish family-owned industrial holding company focusing on long term development of industrial companies.
FAM is an asset management company that is wholly-owned by three of the Wallenberg foundations: the Knut and Alice Wallenberg Foundation, the Marianne and Marcus Wallenberg Foundation, and the Marcus and Amalia Wallenberg Foundation.
Höganäs is a Swedish company listed on NASDAQ OMX Stockholm. Höganäs is active within the manufacture of metal powder.
