Pavao Vujnovac, a Croatian investor, intends to indirectly acquire sole control within the meaning of article 3(1)(b) of the EUMR of Fortenova Group MidCo B.V., a company incorporated in the Netherlands (together with other companies under its (in)direct control, the Fortenova Group). The different companies controlled directly and indirectly by Pavao Vujnovac are defined as the PV Group. The relevant transaction documents have been entered into by Open Pass Limited, a company incorporated in Malta, controlled by the PV Group.
The concentration involves the sale and transfer of 100% of the shares in the Fortenova Group to Iter BidCo B.V. (the BidCo). The shares in the BidCo are held by a newly incorporated Trust Office Foundation (Stichting Administratiekantoor) (the BidCo STAK, together with BidCo, the BidCo Structure). This foundation will issue depository receipts (DRs) that carry voting and economic rights.
The PV Group will obtain an interest of at least 75% in the BidCo STAK DRs. The precise percentage that the PV Group will acquire is still subject to finalisation.
The PV Group is active in the wholesale of fresh fruits and vegetables, non-perishable fruit and vegetables products and non-food products, import and supply of natural gas, production and supply of electricity, rail transport and real estate in Croatia and Slovenia and various non-EU countries in the Balkans.
The Fortenova Group is predominantly active in agriculture, food production and the supply of daily consumer goods in Croatia and Slovenia and various non-EU countries in the Balkans.
