SECTION 1.2

Description of the concentration

On 26 July 2023, the Commission (hereinafter "Commission") received the notification of a proposed concentration pursuant to Art 4 of Council Regulation (EC) No 139/2004, which concerns the establishment of a joint venture and the acquisition of joint control by Scania CV AB and sennder Technologies GmbH within the meaning of Art 3 sec 4, sec 1 lit b Merger Regulation.

Scania, being indirectly controlled by Volkswagen AG, is a Swedish developer and manufacturer of trucks and buses for transport applications, including battery electric commercial vehicles ("BEVs"), vehicle financing, insurance, and rental services. Scania offers its products and services on a global basis. Volkswagen AG, the parent company of the Volkswagen Group, is an automotive manufacturer headquartered in Wolfsburg, Germany, which is globally active in the manufacturing and distribution of passenger and commercial vehicles, motorcycles, engines and turbomachinery, as well as in the provision of related services, including financing, leasing, and fleet management. sennder is a German digital road freight forwarder providing a wide range of state-of-the art full truck load services to shippers across Europe.

The JV Company, a private limited liability company (Gesellschaft mit beschränkter Haftung) organised under the laws of Germany, will create an innovative "electric-Vehicle-as-a-Service" offer including the provision of heavy-duty BEVs based on a pay-per-use-model along with associated digital, physical, and commercial services allowing small-and medium-sized carriers to efficiently electrify their fleets and to deploy BEVs. Insofar, JV Company intends to overcome challenges in the distribution of heavy-duty BEVs by creating an innovative offer making the usage of BEVs a viable option attractive to small-and medium-sized carriers, reflecting the majority of the European carriers. It’s offering will geographically be focussed on Germany within the initial starting phase but may also be rolled out in other neighboring European countries in the mid-term. By joining forces, Scania and sennder bring together Scania's experience regarding the development and distribution of trucks, including BEVs, and sennder's capabilities as leading digital freight forwarder.
