SECTION 1.2

Description of the concentration

Q-Cells SE (“Q-Cells”), Good Energies Investments 2 B.V. (“Good Energies”) and NorSun AS (“NorSun”) intend to merge the Q-Cells subsidiary Sontor GmbH (“Sontor”) into the Good Energies subsidiary Sunfilm AG (“Sunfilm”), with Sunfilm being the surviving entity. After the completion of the transaction the merged entity will be jointly controlled by Good Energies, Q-Cells and NorSun AS (which is currently a minority shareholder of Sunfilm).

The business activities of the undertakings concerned include:

-- Q-Cells: Manufacture and sale of solar cells, solar modules and complete solar energy systems.

-- Good Energies: Investments in renewable energies companies, in particular in the photovoltaic and wind sectors.

-- NorSun: Manufacture and sale of mono-crystalline silicon wafers, which are used for the production of solar cells and solar modules.

-- Sunfilm and Sontor: Manufacture and sale of solar modules based on tandem junction thin film silicon technology on glass.
