SECTION 1.2
Description of the concentration
The notified transaction involves the acquisition by private equity funds (the BC Funds) managed by and whose general partner or attorney is CIE Management II Limited (CIEM), a company ultimately controlled by BC Partners Holdings Limited, of control of Brenntag Investor Holding GmbH (Brenntag). The Parties have requested treatment of the concentration under the Commission Notice on a simplified procedure for treatment of certain concentrations.
The business activities of the undertakings concerned are:
CIEM (ultimately controlled by BC Partners Holdings Limited): general partner and manager or attorney of the BC Funds (which are themselves private equity investment funds).
Brenntag: world-wide processing, storage, trading and distribution of chemical substances.
