SECTION 1.2

Description of the concentration

On 7 September 2018, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004, by which SYNNEX Corporation (headquartered in Fremont, California, USA) will acquire sole control over the business and assets of Convergys Corporation (headquartered in Cincinnati, Ohio, USA).

SYNNEX provides business-to-business services that help clients and business partners grow and enhance their customer-engagement strategies. SYNNEX operates in two business segments: (1) Technology Solutions, which focuses on IT distribution; and (2) Concentrix, its wholly-owned subsidiary, which provides customer relationship management business process outsourcing ("CRM BPO") services to clients, including through the provision and operation of "call centers".

Convergys provides CRM BPO services to client businesses, including through the provision and operation of "call centers".

The Transaction will be implemented through a two-step merger process resulting in the creation of "Concentrix CVG Corporation", a wholly-owned subsidiary of SYNNEX, which will include the Convergys business. As a result of the Transaction, Convergys will no longer be a publicly held corporation.
