SECTION 1.2
Description of the concentration
Clariant AG, Muttenz, Switzerland (“Clariant”) intends to acquire directly and indirectly a
total of at least 95% of the shares in Süd-Chemie AG, Munich, Germany (“Süd-Chemie”), by
acquiring (i) all shares in SC-Beteiligungsgesellschaft, Frankfurt am Main, Germany
(“SCB”), a holding company with the sole corporate purpose of holding title to 50,41% of the
shares in Süd-Chemie, and (ii) simultaneously further shares in Süd-Chemie held by certain
individual shareholders. Thereby Clariant intends to acquire sole control over Süd-Chemie
within the meaning of Art. 3 (1) of Council Regulation (EC) No. 139/2004. The business
activities of the undertakings concerned are:
-– For Clariant: manufacture and marketing of specialty chemicals.
-– For Süd-Chemie: manufacture and marketing of specialty chemicals in the
areas of adsorbents and catalysts.
