SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed transaction pursuant to which

Bridgepoint Group Limited ("Bridgepoint") will by means of purchase of shares acquire sole

control of Miller Homes Holdings Limited (the "Target") within the meaning of Article

3(1)(b) of Council Regulation No 139/2004.
