Description of the concentration
On July 26, 2024, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the “EU Merger Regulation”) whereby Genstar Capital Partners LLC (“Genstar”) and funds managed or advised by TA Associates Management L.P. (“TA Associates”) propose each to acquire joint control of AffiniPay LLC (“AffiniPay”) within the meaning of Article 3(1)(b) of the EU Merger Regulation, by way of a purchase of shares (the “Proposed Transaction”). AffiniPay is currently solely controlled by TA Associates, who will re-invest in AffiniPay pursuant to the Proposed Transaction.
