The notified transaction concerns the acquisition of several companies organised under the Senator International group by the A.P. Møller-Mærsk A/S Group (APMM).
APMM will acquire the shares and assets of Senator International Spedition GmbH, Hamburg, Germany (SI GmbH), Senator International Holding, LLC, Miami, Florida, USA (SI LLC) and Senator International Freight Forwarding, LLC, Miami, Florida, USA (FF LLC), as well as their subsidiaries and affiliated companies, together with certain contractual relationships that are material for Senator International business (together referred to as Senator International) (the Transaction).
Senator International is a family-owned company, headquartered in Germany, primarily specialized in international freight, shipping and logistics, with its main focus on air and ocean freight forwarding, as well as logistics, packaging and customs services.
APMM, which is ultimately controlled by A.P. Moller Holding (APMH), is an integrated transport and logistics company headquartered in Copenhagen with worldwide activities. APMM's core activities comprise container liner shipping through its subsidiaries Maersk A/S, SeaLand, and Hamburg Süd, container terminal services, inland transportation, inland services, supply chain management services, harbour towage and reefer container manufacturing.
The undertakings concerned are all active on a global level.
Post-closing, Senator International will become a wholly owned subsidiary of APMM.
The Transaction is an acquisition of sole control by APMM over Senator International pursuant to Article 3(1)(b) of the EU Merger Regulation and has been notified to the European Commission in line with Article 4 of the EU Merger Regulation.
