SECTION 1.2

Description of the concentration

JSC Transmashholding (“TMH”) and Tognum AG (“Tognum”) signed a joint venture agreement in order to establish Tognum Transmashholding B.V. (Joint Venture Holding Company or “JVHC”), a private limited liability company organised and existing under the laws of the Netherlands. The aim of the JVHC is to establish a subsidiary in Russia in order to develop, manufacture and sell diesel engines and spare parts in the Russian markets and the designated export markets and provide services in relation to these products.

TMH, a stock corporation organized and existing under the laws of the Russian Federation, is a cooperation directly or indirectly through affiliated companies engaged in the business of, inter alia, diesel engine manufacturing in Russia and designated export markets.

Tognum, a stock corporation incorporated under the laws of Germany, is a corporation engaged in, inter alia, the development, design, manufacture, supply and service of diesel engines and complete propulsion systems for various applications. Daimler AG and Rolls-Royce plc jointly control Tognum AG (see Commission decision, COMP/M.6172 – Daimler/Rolls-Royce/Tognum/ Bergen).
