Subject: Case No. COMP/M.2593 - 3 I/OKO BANK/UNIGLASS ENGINEERING Notification of 10.9.2001 pursuant to Article 4 of Council Regulation (EEC) No. 14064/89 Publication in the Official Journal of the European Communities No. C 263, p. 23 of 19/9/2001

1.On 10.9.2001, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EEC) No. 4064/89 by which 3I Group, via its subsidiary SFK 99-Rahasto Ky (Finland), and OKO Bank Group, via its subsidiary Promotion Capital I Ky (Finland), acquired within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertaking Uniglass Engineering Oy (Finland) by way of purchase of shares.

The business activities of the undertakings concerned are :

-- for undertaking SFK 99-Rahasto Ky: investment fund belonging to the 3I Group

-- for undertaking Promotion Capital I Ky: investment fund belonging to the OKO Bank Group

-- for undertaking Uniglass Engineering Oy: manufacturing of machinery for the glass processing industry; manufacturing of safety glass

2.After examination of the notification, the Commission has concluded that the notified operation falls within the scope of Council Regulation (EEC) No. 4064/89 and of paragraph 4, subparagraph b of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EEC) No 4064/89.

For the reasons set out in the Notice on a simplified procedure, the Commission has decided not to oppose the notified operation and to declare it compatible with the common market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of Council Regulation (EEC) No. 4064/89.
