Description of the concentration

The Proposed Transaction concerns the proposed investment by Warburg Pincus LLC (“Warburg”) into BCP V Everise Topco Inc. (“Everise”), which is currently solely controlled by BCP V Everise Aggregator LP (“BCP”), which is in turn ultimately controlled by Brookfield Corporation (“Brookfield”). Following completion of the Transaction, Everise will be jointly controlled by funds managed and advised by Warburg and Brookfield within the meaning of Article 3(1)(b) and Article 3(4) of the EU Merger Regulation (“EUMR”). The concentration is accomplished by way of purchase of shares.
