SECTION 1.2

Description of the concentration

The transaction notified in this Form CO (the Transaction) consists of the creation of a new full-function joint venture, EGA. The notifying parties, MDCI and DUBAL HoldCo, will contribute to EGA the interests their groups will hold in DUBAL and EMAL, a 50:50 full-function joint venture between MDCI and DUBAL, along with some upstream interests.

The activities of the Parties, DUBAL and EMAL are:

(a) MDCI: a wholly-owned subsidiary of Mubadala Development Company PSJC, an investment and development company wholly owned by the Government of the Emirate of Abu Dhabi;

(b) DUBAL HoldCo: a wholly-owned subsidiary of the Investment Corporation of Dubai, an investment company wholly owned by the Government of the Emirate of Dubai;

(c) DUBAL: production and sale of aluminium; and

(d) EMAL: production and sale of aluminium.

As the entities being contributed to EGA do not have more than a 15% combined share in any relevant market (or any plausible segmentation), the case qualifies for treatment according to the simplified procedure.
