SECTION 1.2
Description of the concentration
The notified transaction concerns the proposed acquisition of all shares of U-Shin Ltd. (“U-Shin”) by MinebeaMitsumi Inc. (“MM”) by way of takeover bid and subsequent squeeze out. (4) MM is a listed Japanese Stock corporation (common stock listings in Tokyo and Nagoya) with its headquarter in Tokyo, Japan. MM’s business is structured into the business units of Machinery Components, Electronic Devices and Components, Mitsumi and Other.
U-Shin, a company also listed on the Tokyo stock exchange has its headquarter in Tokyo, Japan and is structured into the business units of Automotive Division, Industrial Equipment Division and Home Security Unit Division.
