SECTION 1.2

Description of the concentration

This notification concerns GKN’s proposed acquisition of sole control over Stork Topco B.V. a holding company registered in the Netherlands which owns 95% of the share capital of Fokker Technologies B.V. GKN will acquire the remaining 5% of the share capital of Fokker from FT Investment BV, a holding company incorporated as a special purpose vehicle for the managements’ equity participation in Fokker. The business activities of GKN and Fokker are the following:

• GKN is a global engineering business whose technologies and products are incorporated into vehicles and aircraft. In the aerospace sector, GKN supplies engine components and aerostructures for civil and military aircraft along with aftermarket services.

• Fokker designs, manufactures and assembles produces aerostructures, landing gears and electrical systems for the civil and defense industries, and supplies maintenance services to aircraft owners and operators.
