SECTION 1.2

Description of the concentration

The proposed transaction concerns the acquisition by Aperam Alloys Germany GmbH, a fully-owned subsidiary of Aperam S.A. (“Aperam”), of VDM Metals Holding GmbH (“VDM”).

Aperam is a global player in stainless, electrical and specialty steel, with customers in over 40 countries. The business is organised in three primary operating segments:

Stainless & Electrical Steel, Services & Solutions, and Alloys & Specialties. Aperam has 2.5 million tonnes of flat Stainless and Electrical steel capacity in Brazil and Europe and also supplies high value specialty products. Its industrial network is concentrated in six production facilities located in Brazil, Belgium and France. Aperam’s customers are active in a wide range of different industries.

VDM is a global producer of high-performance materials consisting of nickel and nickel alloys, special stainless steels, zirconium and cobalt-based alloys. Furthermore, VDM operates a trading business for semi-finished aluminium and copper products. VDM’s products are sold to customers active in various industries (e.g., in aerospace, automotive, oil & gas, chemical process industry, power generation, environmental engineering and electronic- and electrical engineering).

The proposed transaction relates to specialty alloys.
