SECTION 1.2

Description of the concentration

1.1. The proposed concentration involves the creation of a joint venture to be incorporated in China. The joint venture will be jointly controlled by ABF (via ABM) and Wilmar (via YKA) and will be active in the manufacturing, sales and distribution of yeast, bakery ingredients and bakery fats in China, as well as the provision of relevant bakery and technical services related to these products in China. The JV Company may also supply these products and services to companies in other countries, including in Asia.

2.2. ABF is a publicly listed British food, ingredients and retail group with operations in 50 countries across Europe, southern Africa, the Americas, Asia and Australia. It is a diversified group of businesses, each of which enjoys a high degree of autonomy in the running of its operations. These businesses are grouped into five business segments: (i) Ingredients; (ii) Sugar; (iii) Grocery; (iv) Agriculture; and (v) Retail.

3.3. Wilmar is an Asian agribusiness group headquartered in Singapore and listed on the Singapore stock exchange. Wilmar’s business activities include oil palm cultivation, oilseed crushing, edible oil refining, sugar milling and refining, manufacturing of consumer products, speciality fats, oleochemicals, biodiesel and fertilisers as well as flour and rice milling. It has over 500 manufacturing plants and an extensive distribution network covering China, India, Indonesia and some 50 other countries and regions.
