SECTION 1.2

Description of the concentration

1.1. The transaction consists of the acquisition of sole control by Lear Corporation (“Lear”) over the seats and metal business of Grupo Antolín-Irausa, S.A. (the “Acquired Business” and “Grupo Antolín”, respectively), consisting of twelve industrial facilities and two R&D technological centres located in Czech Republic, France, Morocco, Portugal and Spain.

2.2. Lear is the head of an American group active in the supply of complete automotive seating systems and components, as well as electrical distribution systems and electronic components, including high-power and hybrid electrical systems and components, with more than 136,000 employees at 240 locations in 36 countries. Lear’s activity is conducted in the electrical segments (i.e. design, development, engineering and manufacture of complete electrical distribution systems that route electrical signals and manage electrical power within a vehicle), as well as the seating segment (i.e. design, development, engineering, just-in-time assembly and delivery of complete seat systems to original equipment manufacturers (“OEM”), and design, development, engineering and manufacture of all major seat components, including seat covers and surface materials such as leather and fabric, seat structures and mechanisms, seat foam and headrests).

3.3. Grupo Antolín is the head of a Spanish group primarily focused on the manufacturing of car interior solutions for OEM, offering products such as overheads and soft trim, doors and hard trim, seats and metal, lighting, and cockpits and consoles. Grupo Antolín is active in the entire component cycle from conception and design, through development and validation to parts industrialisation and sequenced delivery by means of 161 production plants and just-in-time centres and 25 technical-commercial offices in 26 countries worldwide, including 14 countries in Europe, where its headcount is above 14,400 employees.
