SECTION 1.2
Description of the concentration
The Transaction, notified pursuant to Article 4(1) of Council Regulation No 139/2004, concerns the proposed acquisition by Golden VinzClortho, a US investment fund, solely controlled by CalSTRS, (a US pension fund), and Altitude Infrastructure Holding, which is solely controlled by Altitude SAS, the top controlling company of the Altitude Group, of the joint control of AI THD, a French company active in the fibre development sector in France. The operation entails the change of sole control exercised by the Altitude Group of AI THD to joint control, as defined in Article 3(2) of Regulation No 139/2004, by the Altitude Group and Golden VinzClortho.
