SECTION 1.2

Description of the concentration

The proposed concentration concerns the acquisition of indirect joint control (within the meaning of the EUMR) of various limited partnership interests (the "Funds") held by the National Bank of Greece S.A. (and various of its associated entities) by funds managed by Goldman Sachs Asset Management, L.P. ("GSAM") and Deutsche Alternative Asset Management (Global) Limited ("DAAM"), within the meaning of Article 3(1)(b) of Regulation (EC) No. 139/2004.

The activities of the undertakings are as follows:

GSAM: a global asset management firm that is a part of The Goldman Sachs Group, Inc.

DAAM: an affiliate of Deutsche Bank AG that provides investment management and fund management services.

Funds: private equity funds with interests in various portfolio companies, primarily in healthcare, food/beverages, industrials, services and real estate, in Western, South Eastern and Central Europe as well as Turkey.
