SECTION 1.2

Description of the concentration

The European Commission has received notification of a proposed concentration under Article 4 of Council Regulation (EC) No. 139/2004 ("EUMR"), pursuant to which BSIP UK HoldCo Limited (the "Buyer"), a limited company newly incorporated in England and Wales and indirectly controlled by Brookfield Asset Management Inc. ("Brookfield"), will acquire 49 per cent of the issued share capital in Telia Towers AB from Telia Company AB ("Telia Company"). The Buyer and Telia Company will hold joint control over Telia Towers AB, headquartered in Sweden, and its subsidiary undertakings, Telia Towers Finland Oy and Telia Towers Norway AS (together, the "Target"), within the meaning of Article 3(1)(b) of EUMR.

Brookfield, headquartered in Canada, provides asset management services, focused on real estate, infrastructure, renewable power and private equity. Brookfield is headquartered in Toronto, Canada.

Telia Company, headquartered in Sweden, is a telecommunications operator providing mobile and fixed telecommunications services, as well as broadband and television services.

The Target owns, manages and provides access to passive wireless communications infrastructure to wireless communications providers in Finland and Norway.
