SECTION 1.2

Description of the concentration

Ford Motor Company (“FMC”) intends to acquire sole control over GETRAG FORD Transmissions GmbH (“GFT”), currently jointly controlled by FMC and Magna International Inc. (“MII”).

FMC is a global company based in Dearborn, Michigan. It is the parent company of the Ford Group of companies which designs, manufactures, markets and services a full line of Ford cars, trucks, SUVs, electrified vehicles and Lincoln luxury vehicles, provides financial services through Ford Motor Credit Company and is also active in electrification, autonomous vehicles and mobility solutions.

GFT is a joint venture operated by FMC and MII for the development, manufacture and sale of automotive transmissions. FMC and MII intend to restructure and dissolve GFT, as FMC and MII conclude that the interests of each of the businesses operated within GFT will be better served under separate ownership by FMC and MII respectively.
