SECTION 1.2
Description of the concentration
Pursuant to an asset sale agreement dated 24 September 2010, Ericsson will acquire substantially all assets of the MSS business of Nortel.
The acquisition will ensure the continued supply of the MSS platform for Ericsson’s North-American CDMA business and North American GSM business. Nortel is currently focused on work under certain creditor protection proceedings, including the sale of its remaining businesses, of which its MSS business is part.
Both Ericsson and the MSS business of Nortel provide MSS products and associated services. However, the parties no longer compete in the supply of such products and services because MSS products are now an out-of-date technology and each party only provides MSS products and associated services to existing customers.
