SECTION 4

Description of the concentration

The notified concentration concerns the proposed acquisition of indirect sole control within the meaning of Article (3)(1)(b) of the Council Regulation (EC) No 139/2004 of 20 January 2004 (the “EU Merger Regulation”) of Schoeller Packaging Holding B.V., the indirect holding company of Schoeller Allibert Group B.V. (and together with its direct and indirect subsidiaries, “Schoeller Allibert”), by BCP IV RTP Holdings Limited, an entity which is ultimately controlled by Brookfield Corporation (collectively, “Brookfield” and together with Schoeller Allibert, the “Parties”) (the “Proposed Transaction”).

Schoeller Allibert is currently indirectly jointly controlled by Brookfield and Schoeller Industries B.V. Following the completion of the Proposed Transaction, Brookfield will indirectly exercise sole control over Schoeller Allibert.

The business activities of the undertakings concerned are as follows:

(a) Brookfield is a global asset manager headquartered in Toronto, Canada, which offers a range of public and private investment products and services, with a focus on renewable power and transition, infrastructure, private equity, real estate, and credit and insurance.

(b) Schoeller Allibert is a manufacturer of returnable plastic packaging for material handling headquartered in the Netherlands. Schoeller Allibert offers a range of standard and tailor-made returnable plastic packaging solutions, including foldable containers, beverage crates and trays, handheld boxes, and pallets. Its customers are active in the agriculture, automotive, beverage, food, industrial manufacturing, pooling, and retail sectors.
