SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration under Article 4 of Council Regulation (EC) No 139/2004 (the “Regulation”) relating to the proposed transaction by and among United Technologies Corporation (“UTC”) and certain subsidiaries of UTC (collectively, the “Sellers”) and Lockheed Martin Corporation (“Lockheed Martin”, together with the Sellers, the “Parties”) pursuant to which Lockheed Martin will acquire from the Sellers all of the equity interests comprising Sikorsky Aircraft Corporation and certain other entities comprising UTC’s Sikorsky business (collectively “Sikorsky”) within the meaning of Article 3(1)(b) of the Regulation.

The Parties’ activities are as follows:

‒ Lockheed Martin: the research, design, development, integration and sustainment of advanced technology systems, products and services.

‒ Sikorsky: the design, development, and manufacture of helicopters for military and commercial use, and provision of related aftermarket helicopter and aircraft parts and services. Sikorsky is a wholly-owned subsidiary and one of the business units of UTC.
